Terms of service

These terms are between [COMPANY LEGAL NAME], a company registered in [England and Wales] under number [NUMBER], whose registered office is at [ADDRESS] ("we"), and the customer who accepts them ("you").

1. The service#

1.1 We provide P6 Schedule Analytics, an online service that analyses Primavera P6 exports (the "Service"), under the plan you choose.

1.2 We may improve and change the Service. We won't remove a core function of your plan during a paid term without notice.

2. Accounts#

2.1 You're responsible for your users, for keeping sign-in details secure, and for what happens under your account.

2.2 Each seat is for one named user.

3. Your data#

3.1 You keep all rights in the programmes and other files you upload ("Customer Data"). You grant us the rights we need to host and analyse it to provide the Service.

3.2 You confirm you're entitled to upload the Customer Data, including any third party's programme.

3.3 We process personal data in Customer Data as your processor under our Data Processing Agreement.

4. Fees and payment#

4.1 Fees are as shown at checkout or in your order, excluding VAT, which we add where it applies.

4.2 Subscriptions renew automatically for the same term unless cancelled before renewal. Annual plans are paid in advance.

4.3 Invoiced customers pay within [30] days of the invoice date.

4.4 [Founding-customer discount: the discounted price applies for as long as the subscription continues without a break.]

5. Trials and the free tier#

5.1 A trial gives access to the Professional plan for [14] days. At the end of a trial your account moves to the free tier unless you subscribe. We don't delete your data because a trial ends.

6. Acceptable use#

6.1 You won't misuse the Service: no attempt to break its security, overload it, reverse-engineer it, or use it to break the law.

7. Analysis results#

7.1 The Service is an analysis aid. Its results depend on the files you upload, and don't replace professional judgement. In particular, NEC4 assessments don't determine whether a programme is accepted under the contract, and forensic findings aren't conclusions on liability.

8. Liability#

8.1 Nothing limits liability that can't be limited by law.

9. Ending the agreement#

9.1 You can cancel at any time from the billing portal; the subscription ends at the end of the current term.

9.2 Either of us may end the agreement if the other materially breaches it and doesn't fix the breach within [30] days of notice.

9.3 You can export your results before your subscription ends.

10. General#

10.1 These terms are governed by the law of [England and Wales], and its courts have exclusive jurisdiction.
